In December 2025, the Thai Securities and Exchange Commission (“ SEC ”) has issued a notification revising the regulations governing Thailand ESG Funds (“ Thai ESG ”) to expand the scope of eligible assets to include shares of listed companies participating in the Stock Exchange of Thailand’s (“ SET ”) JUMP+ Program with a Corporate Governance Report of Thai Listed Companies (“ CGR ”) score of 90 or above, or an equivalent rating. 泰國證券交易委員會(“ SEC ”)於 2025 年 12 月已發布一項通告，修訂管理泰國

泰國證券交易所(“SET”)於 2026 年1 月公布一項全面性之三年期計畫(2026-2028)，旨在全方位提升泰國資本市場。該計畫將 SET 定位為「通往包容性機會之信賴門戶」，其目標在於擴大投資機會，並增強泰國資本市場之競爭力與效能。

如泰國公司申請辦理以下任何變更登記事項，任命新的董事、變更授權董事的人數、變更授權董事姓名，或其他導致外國人成為授權董事之情形，DBD 將要求： (a) 所有現任董事以及新任之泰國籍董事必須親自到場辦理登記程序； (b) 出示有效身分證明文件； (c) 簽署並留存正式宣誓聲明，確認其係真實參與公司經營，且不存在代持安排。

泰國內閣在2025年12月9日正式同意泰國加入《取消外國公文書認證要求公約》《1961年海牙認證公約》。 一旦海牙公約正式生效，泰國公文書原則上僅須由泰國指定機關進行海牙認證，即可在其他締約國獲得承認。這亦表示，來自其他締約國並附有海牙認證之公文書，將不再需要經泰國領事認證。在公約對泰國正式生效前，仍建議依傳統領事認證程序辦理。此外，雖然海牙認證制度適用於締約國之間，但各國實務操作仍可能存在差異。

Thai government recently has introduced Startup Promotion and Act (the “Draft Act”), designed to modernize corporate and fundraising rules, enhance access to finance and expertise, and centralize promotion under the National Innovation Agency (the “NIA”).The goal is to create a more competitive and innovation-led economy, where Thai startups can attract investment and scale internationally.
